1. Welcome to Folio

These Terms of Service ("Terms") govern your access to and use of Folio, a product operated by Threelance Inc., a corporation incorporated in the State of Delaware ("Threelance," "we," "us," or "our"). Folio includes our website at folio.link, our web application, and all related features, tools, and services (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

Folio is a premium link-in-bio platform built for freelancers. It provides a single, shareable profile page that consolidates your portfolio, social links, contact information, and a secure mechanism for sharing payment details with clients ("Pay-Me").

2. Changes to These Terms

Folio is a living product. We may update these Terms from time to time to reflect changes to the Platform, new features, legal requirements, or for other business reasons. If we make a change that materially and negatively affects your use of the Platform, we will make reasonable efforts to notify you at least thirty (30) days before the change takes effect, typically via email or an in-app notice.

Your continued use of the Platform after any updated Terms take effect constitutes your acceptance of those changes. If you do not agree to the revised Terms, you should stop using the Platform and close your account in accordance with Section 10.

As Folio grows, new features and capabilities may be added to the Platform. These features may require updates to these Terms or the introduction of supplemental terms. We will inform you of any such changes, and any supplemental terms will be incorporated into these Terms by reference upon your acceptance.

3. Your Account

To access the full functionality of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information at registration and keep it up to date;
  • Maintain the confidentiality of your password and not share access with any third party;
  • Notify us immediately at support@folio.link if you suspect unauthorized access to your account;
  • Ensure your account and all activities conducted through it comply with all applicable laws and these Terms;
  • Not use automated tools, bots, or scripts to create accounts or access the Platform in unauthorized ways.

You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you meet this requirement.

If you use the Platform on behalf of a business or client, you represent that you are authorized to agree to these Terms on their behalf.

You are solely responsible for all activity that occurs under your account.

4. Your Username and Profile

When registering, you will select a username that becomes your unique Folio URL (e.g., folio.link/yourname). Your username must:

  • Not infringe on any third party's trademark, copyright, or other intellectual property rights;
  • Not impersonate any person, company, or brand;
  • Not be offensive, vulgar, or misleading;
  • Not be registered speculatively for the purpose of selling it ("domain squatting").

We reserve the right to reclaim, reassign, or suspend usernames that violate these requirements or that remain inactive for more than six (6) consecutive months without profile activity or visitor traffic.

If a third party believes your username infringes their intellectual property rights, they may submit a report to legal@folio.link. You will have the opportunity to respond with a counter notice.

5. Your Content

"Content" means any text, images, links, files, portfolio work, social media handles, contact information, payment details entered into Pay-Me, and any other materials you upload, display, or otherwise make available through your Folio profile.

You represent and warrant that:

  • You own or have the necessary rights to share all Content you post on the Platform;
  • Your Content does not infringe any third party's intellectual property, privacy, or other rights;
  • Your Content is accurate and not misleading, deceptive, or in violation of applicable law;
  • Your Content does not contain malicious code, viruses, or automated data-collection tools;
  • Your Content complies with our Acceptable Use Policy.

You retain all intellectual property rights in your Content. By posting Content on Folio, you grant us a limited, worldwide, royalty-free license to display, host, and transmit your Content solely as necessary to operate and provide the Platform. We do not claim ownership of your Content and will not use it in advertising or marketing without your consent.

We may remove or restrict Content at any time if we determine it violates these Terms, without prior notice.

6. The Pay-Me Feature

Pay-Me is Folio's signature feature that allows you to display your payment and banking information (e.g., bank account details, payment handles such as Venmo, PayPal, Zelle, or similar) to authorized visitors only. Access to this information is protected by a password that you set and share privately with intended recipients.

By using Pay-Me, you acknowledge and agree to the following:

  • You are solely responsible for the accuracy of the payment information you enter into Pay-Me. Folio does not verify, validate, or process payment transactions.
  • You are solely responsible for choosing and communicating your Pay-Me password to the appropriate parties. Folio does not transmit, store in unencrypted form, or distribute your Pay-Me password or the information it protects beyond what is necessary to operate the feature.
  • Folio is not a payment processor, bank, money transmitter, or financial services provider. Pay-Me is an informational display feature only. No funds are transferred through Folio.
  • You must not use Pay-Me to solicit payment for illegal goods or services, to defraud third parties, or for any purpose that violates applicable law.
  • We strongly recommend that you regularly review and update your payment information, and that you change your Pay-Me password if you believe it has been compromised.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIO DISCLAIMS ALL LIABILITY ARISING FROM THE DISCLOSURE, MISUSE, OR UNAUTHORIZED ACCESS TO PAYMENT INFORMATION ENTERED INTO PAY-ME. YOU USE THIS FEATURE AT YOUR OWN RISK.

7. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law or regulation;
  • Infringe any intellectual property, privacy, or other rights of any third party;
  • Post or transmit false, misleading, defamatory, or harmful content;
  • Harass, threaten, or harm any person;
  • Distribute spam, malware, phishing content, or unsolicited communications;
  • Attempt to gain unauthorized access to Folio's systems, servers, or data;
  • Use the Platform in any manner that could damage, disable, overburden, or impair our infrastructure;
  • Collect or harvest user data without authorization;
  • Facilitate any fraudulent or unlawful financial activity.

We reserve the right to investigate violations and to take appropriate action, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.

8. Intellectual Property

The Folio name, logo, design system, software, codebase, and all other content provided by Folio (excluding your Content) are the exclusive property of Threelance Inc. and its licensors. Nothing in these Terms grants you any right to use Folio's brand, trademarks, or proprietary content for any purpose without our prior written consent.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works from any part of the Platform.

9. Third-Party Integrations

Folio may allow you to connect your profile to third-party platforms and services (e.g., Instagram, LinkedIn, Behance, or payment platforms). Your use of any such third-party service is subject to that service's own terms and privacy policies. We do not control and are not responsible for third-party services, and we make no warranties regarding them.

Future versions of the Platform may introduce integrations with additional third-party tools and services. Any such integrations will be disclosed in our help documentation and, where material, reflected in updated Terms.

10. Suspension and Termination

You may close your Folio account at any time through your account settings. Upon closure, your public profile will be deactivated. We cannot guarantee recovery of your Content after deletion.

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably determine that:

  • You have violated these Terms or our Acceptable Use Policy;
  • Your account is associated with fraudulent, abusive, or illegal activity;
  • Continued operation of your account poses a risk to the Platform, other users, or third parties;
  • We are required to do so by applicable law or a court order.

If we suspend or terminate your account, you may contact us at support@folio.link to request a review. We will make good-faith efforts to resolve disputes before either party initiates legal action.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. FOLIO DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

FOLIO IS NOT A FINANCIAL INSTITUTION, PAYMENT PROCESSOR, OR LICENSED MONEY TRANSMITTER. THE PAY-ME FEATURE IS AN INFORMATIONAL TOOL ONLY. FOLIO DOES NOT FACILITATE, VERIFY, OR GUARANTEE ANY FINANCIAL TRANSACTIONS BETWEEN USERS AND THEIR CLIENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOLIO AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF FOLIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FOLIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO FOLIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Threelance Inc. and its affiliates, officers, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Platform, (b) your Content, (c) your violation of these Terms, or (d) your violation of any third party's rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Delaware.

Before initiating any formal legal proceeding, you agree to contact us at legal@folio.link and allow thirty (30) days for good-faith resolution. Nothing in this clause limits either party's right to seek emergency injunctive relief.

15. General Provisions

These Terms, together with our Privacy Policy and any supplemental terms we may publish, constitute the entire agreement between you and Folio regarding the Platform.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.

We reserve the right to modify, add, or remove features of the Platform at any time. Where changes are material, we will provide advance notice as described in Section 2.
